Our total liability for any claims arising from or related to these terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim in the twelve months preceding the claim.

This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

Indemnification

You agree to indemnify, defend, and hold harmless DataTrixa, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of our services in violation of these terms
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights
• Any content or data you submit through our services

Termination

Either party may terminate the service relationship at any time with appropriate notice as specified in your service agreement. We reserve the right to immediately terminate or suspend your access to our services if:

• You breach these terms or your service agreement
• Your account becomes delinquent on payment obligations
• We reasonably believe your use poses a security risk
• We are required to do so by law or regulation

Upon termination, your right to use our services will immediately cease, and we may delete your data subject to our data retention policies and legal obligations.

Provisions of these terms that by their nature should survive termination will remain in effect, including intellectual property rights, limitation of liability, and governing law clauses.

Governing Law

These terms and any disputes arising from or related to them shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to conflict of law principles.

Any legal proceedings arising from these terms shall be subject to the exclusive jurisdiction of the courts of Cyprus. However, we retain the right to seek injunctive relief in any jurisdiction to protect our intellectual property rights.

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these terms due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labour disputes, or technical failures of third-party infrastructure.

Entire Agreement

These terms, together with your service agreement and our privacy policy, constitute the entire agreement between you and DataTrixa regarding the use of our services and supersede all prior or contemporaneous communications and proposals.

No modification of these terms will be effective unless made in writing and signed by an authorised representative of DataTrixa.
